1. Introduction
These Affiliate Terms and Conditions (the “Agreement”) govern the participation of individuals or entities (the “Affiliate”) in the Unique Celebrations Affiliate Program (the “Program”). By joining the Program, you agree to abide by the terms outlined below.
2. Eligibility
2.1. To join the Program, you must:
- Be at least 18 years of age.
- Provide accurate and complete registration information.
- Own and operate a website, blog, or other approved online platform that aligns with our values and complies with applicable laws.
2.2. We reserve the right to accept or reject any application to the Program at our sole discretion.
3. Affiliate Responsibilities
3.1. Promotion: Affiliates are responsible for promoting our products and services through authorized channels using approved marketing materials.
3.2. Compliance:
- You must adhere to all applicable laws, including advertising and privacy regulations.
- Affiliates may not engage in spamming, misleading marketing, or any unethical practices.
3.3. Brand Usage: Affiliates may use our trademarks, logos, and other brand assets only as expressly permitted by us.
3.4. Prohibited Activities: Affiliates must not:
- Bid on our branded keywords in paid advertising campaigns.
- Misrepresent our products or services.
- Use fraudulent means to generate referrals.
4. Commissions and Payment
4.1. Commission Structure: Affiliates will earn:-
4.2. Eligibility for Payment: Commissions are eligible for payout only after the referred sale is confirmed and the return/refund period has passed.
4.3. Payment Schedule: Payments will be issued on a monthly basis, once the Affiliate has reached the minimum payout threshold of Rs. 500/-.
4.4. Method of Payment: Payments will be made via Bank transfer.
4.5. Taxes: Affiliates are responsible for reporting and paying any taxes associated with their earnings.
5. Term and Termination
5.1. Term: This Agreement begins on the date of acceptance into the Program and continues until terminated by either party.
5.2. Termination by Affiliate: Affiliates may terminate their participation by providing written notice.
5.3. Termination by Us: We reserve the right to terminate an Affiliate’s participation at any time for:
- Breach of this Agreement.
- Inactivity for 180 days.
- Any conduct we deem detrimental to our brand.
5.4. Post-Termination Obligations: Upon termination, Affiliates must cease using all promotional materials and remove any links to our site.
6. Intellectual Property
6.1. We retain all rights to our intellectual property, including trademarks, logos, and promotional materials.
6.2. Affiliates may not modify, reproduce, or distribute our intellectual property without prior written consent.
7. Limitation of Liability
7.1. We are not responsible for indirect, incidental, or consequential damages resulting from participation in the Program.
7.2. We do not guarantee any specific level of earnings or performance for Affiliates.
8. Confidentiality
8.1. Affiliates must keep all non-public information provided by us confidential and must not disclose it to third parties.
9. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of Midnapore Judge Court.
10. Changes to the Agreement
We reserve the right to modify this Agreement at any time. Affiliates will be notified of significant changes, and continued participation in the Program constitutes acceptance of the updated terms.
